Technology, Media and Telecommunications (“TMT”) is an expanding area of our practice; our representation of telecom companies dates back to when Story First Communications pioneered the entry of Western telecommunication providers into the Russian market in the early 1990s.
Since then, our lawyers have been involved in advisory and transactional support for telecom companies. With the telecom market in Russia quickly maturing, the unique expertise and hands-on knowledge of our lawyers has become more valuable. Our familiarity with the requirements of both the London and Russian Stock Exchanges and our ability to define optimal strategies for accessing investment markets helps our clients in their search for the best financing solutions.
We regularly advise on investments in new media companies, including on tax efficient holding structures and shareholder agreements between the investors. As such companies grow, we advise on establishing joint ventures with other players in the market, content licensing and various stock options plans for employees. We have also advised on creating an innovative warrant programme designed to give major media companies equity upside in a fast growing internet start-up company.
We also advise Russian media groups on entering into and restructuring multi-million dollar content licensing agreements with major global film and music production companies, together with their accompanying complex security packages.
